Non-Disclosure Agreement (NDA) Information
This Non-Disclosure Agreement ("NDA") governs the confidentiality obligations between Zinyaw Host (“Company”, “we”, “our”, or “us”) and any individual or entity (“Recipient”) who receives confidential information in connection with our business, services, or partnership discussions.
Definition of Confidential Information
"Confidential Information" means all non-public, proprietary, or sensitive information disclosed by Zinyaw Host to the Recipient, whether orally, in writing, electronically, or by any other means. This includes, but is not limited to, business plans, financial data, customer lists, software code, technical designs, trade secrets, marketing strategies, and other intellectual property.
Obligations of the Recipient
- The Recipient agrees to keep all Confidential Information strictly confidential and to use it solely for the purpose authorized by Zinyaw Host.
- The Recipient shall not disclose, publish, or disseminate Confidential Information to any third party without the prior written consent of Zinyaw Host.
- The Recipient shall take all reasonable measures to protect the confidentiality and prevent unauthorized use or disclosure of the Confidential Information.
- The Recipient agrees to limit access to Confidential Information only to its employees, contractors, or agents who need to know such information for the permitted purpose and who are bound by confidentiality obligations at least as restrictive as this NDA.
Exclusions from Confidential Information
Confidential Information does not include information that:
- Is or becomes publicly known through no breach of this Agreement by the Recipient;
- Is received from a third party without breach of any obligation of confidentiality;
- Is independently developed by the Recipient without use of or reference to the Confidential Information;
- Is disclosed with the prior written approval of Zinyaw Host;
- Is required to be disclosed pursuant to applicable law, regulation, or court order, provided the Recipient gives prompt notice to Zinyaw Host to allow for protective measures.
Term and Termination
This NDA remains in effect from the date of disclosure of Confidential Information and continues for as long as such information remains confidential or until terminated by written agreement of the parties. Obligations with respect to previously disclosed Confidential Information survive any termination or expiration of this Agreement.
Return or Destruction of Materials
Upon termination of the NDA or upon Zinyaw Host’s request, the Recipient agrees to promptly return or destroy all materials containing Confidential Information, including all copies, notes, or extracts thereof.
No License or Ownership Rights
Nothing in this NDA grants the Recipient any ownership or license rights in the Confidential Information except as expressly set forth herein.
Remedies
The Recipient acknowledges that any unauthorized use or disclosure of Confidential Information may cause irreparable harm to Zinyaw Host. Accordingly, Zinyaw Host shall be entitled to seek injunctive relief, in addition to any other remedies available at law or in equity.
